Out of Network Terms

1. Platform Scope

Out of Network is a directory and marketplace to help users discover independent providers. We are not a medical provider and do not provide diagnosis, treatment, crisis services, or clinical guarantees.

2. Eligibility and Accounts

You must provide accurate account information and keep your credentials secure. You are responsible for activity under your account.

3. Provider Subscription and Publishing

Therapists can create a profile for free. To publish a profile and appear in the directory, a $3.99/month subscription is required. Profiles are hidden from the directory until a subscription is active. Canceling a subscription will hide the profile from the directory. By publishing, providers consent to public display of listing information they submit for directory use.

3A. Directory Fairness and Display Order

Directory ordering is randomized to support a fair marketplace. Out of Network does not sell paid placement, priority ranking, or special treatment tiers in provider browse results.

4. Provider Listings and Private-Pay Claims

At launch, private-pay status is self-attested by providers unless explicitly marked as independently verified by Out of Network. Providers are responsible for truthful listing content and ongoing updates.

5. Stripe-Only Billing (Launch)

Provider subscriptions and optional platform tips are processed through Stripe at launch. By transacting on the platform, you also agree to applicable Stripe terms.

6. Optional Tips and Donations

Tips are voluntary, and 100% of tip funds are allocated to marketing to help more people discover providers on the platform. Tips are not required to browse the directory, connect with providers, or access basic platform functionality.

7. Related-Party Disclosure

Related-party provider listings may exist. These listings are subject to the same ranking, review, and enforcement standards as all providers.

8. Removal and Enforcement

We may pause, hide, or remove listings that violate policy or appear inaccurate, including private-pay misrepresentation or repeated policy violations. Provider-specific enforcement, correction windows, evidence standards, policy fees, and account bans are governed by the Provider Participation Agreement.

9. No Clinical Relationship

Out of Network is not a provider of medical or mental health treatment. Use of the platform does not create a clinician-patient, fiduciary, agency, employment, joint venture, or partnership relationship between Out of Network and any therapist or user.

10. Disclaimer and Limitation

To the maximum extent permitted by law, the platform is provided as-is and as-available. We disclaim warranties and are not liable for indirect or consequential damages.

11. Indemnification

You agree to defend, indemnify, and hold harmless Out of Network from claims, liabilities, losses, and expenses arising from your content, your conduct, your legal non-compliance, or your breach of these Terms or incorporated agreements.

12. Dispute Process

Before filing a formal claim, you agree to send written notice and allow a reasonable informal resolution window. Nothing limits either party from seeking immediate equitable relief when necessary to prevent ongoing harm.

13. Changes to These Terms

We may update these Terms periodically. Continued use after updates means you accept the revised terms.

14. Governing Law and Venue

These Terms are governed by applicable state and federal law based on our principal place of business, except where mandatory law requires otherwise. If any term is unenforceable, the remaining terms continue in effect.
